OpenAI Reaffirms Nonprofit Control Amid Restructuring

OpenAI has announced that it will maintain nonprofit oversight of its operations, reversing a previous plan to transition its for-profit subsidiary into a public benefit corporation (PBC). This decision comes after significant public and legal scrutiny, including a lawsuit from co-founder Elon Musk, who argued that the company had deviated from its mission to develop artificial general intelligence (AGI) for the benefit of humanity.

In a statement, OpenAI CEO Sam Altman emphasized that the organization remains committed to its founding goal of ensuring AGI benefits all of humanity. To address concerns, OpenAI has restructured its for-profit subsidiary into a PBC, which will be governed by a board appointed by the nonprofit. This hybrid model aims to balance the need for capital investment with the organization’s mission-driven objectives.

The restructuring plan is currently under review by the attorneys general of California and Delaware, who are evaluating whether the new structure adequately protects the nonprofit’s interests and complies with state laws governing nonprofit organizations.
